For example, we guard against subsidiary management siding with a financial buyer for the opportunity to participate in the equity of the divested business. We try to limit reps and warranties, even though many buyers want to capitalize on the deep pockets of a corporate seller. We are also sensitive to how hard or soft the divestiture process should be run, depending upon the pool of qualified buyers and attractiveness of the business being sold.
